By applying for membership and any associated license to use the American Grown Flowers™ name, logo, and certification marks (“Marks”), Applicant acknowledges and agrees that the Marks may be used only in connection with bouquets, arrangements, or floral products in which no less than eighty-five percent (85%) of the flowers and foliage, by stem count, are grown in the United States of America (“Certified Products”). Use of the Marks on any product, marketing, labeling, advertising, or promotional material that does not meet this standard is strictly prohibited.
Applicant further agrees that all use of the Marks shall comply with the then-current American Grown Flowers Logo Usage Guide, as adopted and amended from time to time by Certified American Grown, which governs approved colors, sizing, placement, context, and other permitted uses of the Marks. Applicant acknowledges responsibility for reviewing and adhering to the Logo Usage Guide and agrees to promptly correct or discontinue any non-compliant use upon notice.
Applicant represents and warrants that it maintains commercially reasonable systems and records sufficient to substantiate compliance with the 85% American-grown requirement and the Logo Usage Guide and agrees to retain such records for a minimum of three (3) years. Certified American Grown reserves the right, upon reasonable notice, to request documentation or verification of compliance and to suspend or revoke permission to use the Marks immediately upon any misuse, misrepresentation, or failure to meet the certification standard or Logo Usage Guide. All goodwill associated with the Marks inures solely to the benefit of Certified American Grown, and Applicant agrees to cease use of the Marks upon termination of membership or written notice of noncompliance.
